General Purchase Conditions
Applied by PLC „Vilniaus Baldai“ ("Vilniaus Baldai").
Applicable to Purchases of Goods from Sellers outside Lithuania.
Valid from 1st January 2011.
1. Validity of Conditions
General Purchase Conditions (hereinafter referred to as the “Conditions”) constitute an integral part of the purchase-sale contracts, concluded by “Vilniaus Baldai” on purchase of goods from sellers established outside Lithuania (the buyer and the seller hereinafter together are referred to as the “Parties”). Any amendments to the Conditions shall be made in writing and signed by the Parties, otherwise such amendments shall be declared null and void.
2. Jurisdiction, and Applicable Law
Any disputes arising between the buyer (“Vilniaus Baldai”) and the seller, when these Conditions are applied, shall be resolved by the competent court located at the place of the registered office of the buyer (Vilnius city).
The legal relationship between the Parties shall be governed by the law of the Republic of Lithuania, including United Nations Convention on the Contracts for the International Sale of Goods (hereinafter – “CISG”). Agreement not to apply CISG or any of its provisions is not permissible in any cases.
3. Seller’s guarantee
The Seller is fully responsible for the quality of sold items. The restrictions of the quality of goods are permissible only according to the CISG. The Seller is not entitled to bind the guarantee for the goods by other grounds or under other legal acts.
The Guarantee for purchased goods is given for two years, unless the Parties agree otherwise. The binding of guarantee’s term in accordance with non-Lithuanian law is not allowed.
4. Liability of the Seller
The Seller and his representatives are totally and absolutely responsible for any damages caused by faulty goods.
5. Delivery of Goods
The Seller is liable for the due delivery of goods. The buyer is not liable for any damages sustained by the Seller while delivering goods.
The place of delivery of goods is the warehouses of “Vilniaus Baldai” located at Savanoriu ave. 197, LT-02300, Vilnius, Lithuania and/ or Savanoriu ave. 178, LT-03154, Vilnius, Lithuania
The Seller shall ensure that goods are packed in a way common to such kind of goods, and if such is absent – in a way ensuring the safety of goods.
6. Settlement of accounts
The buyer shall pay for the goods within the term not shorter than 30 calendar days from the transfer of goods to the buyer.
7. General Seller’s Business Condition
General Seller’s business conditions will be not applicable to the buyer (“Vilniaus Baldai”).
